Scott Cofer has been a partner with the Greve Clifford firm since 1995. Scott has been advising and representing individual, business, construction, design professional, real estate, and non-profit related clients since 1985. His practice actively involves most aspects of business, corporate, construction, real estate, and non-profit law, including general business counseling, business formation, contract analysis, and client representation in contract negotiation and litigation matters.

In his twenty years of law practice, Scott’s clients have ranged from individual and small business clients, to medium and large local, regional and national private sector, non-profit and government agency clients, to public entity clients such as the California Housing Finance Agency, and to acting as Regional Construction Counsel for a Fortune 100 Company, Johnson Controls, Inc. in a large portion of the Western United States.

Scott was admitted to practice law in the State of California in 1985. He is admitted to practice before all courts of the State of California and to the United States Districts Courts for the Eastern and Northern Districts of California.

In addition to his legal practice, Scott is member of the Business and Real Estate Law Sections of State Bar of California, and is a member of the Business Law Section of the Sacramento County Bar Association. Scott is also a member of the Construction Financial Management Association

Scott received his Bachelor of Science Degree in Business Administration (Finance) from California State University, Sacramento in 1982. He earned his J.D. degree from the University of Santa Clara School of Law in 1985.

Scott is married with two children, a son and a daughter. Scott has called Sacramento his home since 1969.

Construction and Design Professional Counseling and Litigation Practice:
Advising, representing and counseling general and specialty contractors, subcontractors, architects, and engineers, in a wide range of private and public works construction related matters, including contract analysis, preparation, and negotiations, public contract bid matters, construction claims and litigation, mechanics lien, stop notice, bond and related matters, Contractors State License Board and other regulatory matters.

Business and Corporate Formation Practice:
Advising, representing and counseling individuals and business in the organization and formation of a wide range of business entities, including corporations, limited liability companies, limited liability partnerships, general partnerships, and joint ventures for most types of businesses and professions.

Business Transactions and Counseling Practice:
Advising, representing and counseling business clients in contract analysis, preparation, and negotiations, stock purchase and sale transactions, purchase and sale of business entities, assets and equipment, shareholder, partnership, and LLC member buy and sell agreements, preparation and analysis of business transaction documents, regulatory guidance and counseling.

Real Estate Transactions and Counseling Practice:
Advising and counseling real estate owners, lessors, lessees and prospective buyers in a wide range of contract analysis, preparation, and negotiations, purchase, sale, and lease transactions, financing transactions, and regulatory matters.

Non-Profit Corporation Formation and Counseling Practice:
Advising, representing and counseling individuals and businesses in the organization and formation of, and in the application for state and federal tax-exempt status for charitable, public benefit, religious and mutual benefit corporations; including significant experience in counseling and representation of charitable bingo related organizations.

Business Litigation Practice:
Advising, representing and counseling clients in the prosecution, and defense and resolution of a wide variety of business, corporate and partnership disputes, contract disputes, failed business transactions, unfair competition and unfair trade practices litigation, governmental regulatory disputes, collection enforcement and defense.

Real Estate Litigation Practice:
Advising, representing and counseling clients in the prosecution, and defense and resolution of real estate related disputes, including real estate acquisitions, sales, leases, financing transactions, foreclosures, resolution of disputes with governmental agencies.

Commercial Transactions and Litigation Practice:
Advising, representing and counseling clients in counseling and document review and preparation for commercial transactions involving purchase and sales of assets and equipment, secured transactions, commercial litigation and contract enforcement.
